Licensee: Elevated Futures Education Ltd (“the Organisation”)

1. Proprietary Kernel and Background

Explanation: This section establishes that the Dynamic Development Plan (DDP) is not a work for hire created for the school, it is an independent, proprietary system owned by Lane Anthony, the school is buying the right to use it, not the right to own it.

The Licensor is the sole author and proprietor of the DDP ecosystem, which includes the pedagogical logic, strengths based frameworks, and digital architectures described in The DDP Blueprint. This agreement grants the Organisation a limited license to implement this “Proprietary Kernel” within their specific educational setting.

2. License and Royalty Structure

Explanation: These percentages reflect the value of the DDP as the primary engine of the school’s success, internal revenue covers the day to day use, while the higher external rate protects the Licensor if the school attempts to sell the DDP methodology to other providers.

Internal Setting License: 7.5% of Net Income from the independent school operations.
External Commercial Delivery: 25% of Net Income from any DDP based training or services delivered to third parties.
Authors’ Royalty: 20% of Net Income from the sale of DDP manuals, physical workbooks, or digital resources.

3. Professional Consultancy (Active Service)

Explanation: This distinguishes passive income from active service, the rate is a significant partner discount from the standard portfolio rate, reflecting a commitment to the school’s startup phase.

Direct implementation, staff training, and strategic oversight performed by the Licensor shall be billed as consultancy at the following preferential rates:

Daily Rate: £450
Hourly Rate: £75

Consultancy fees are payable within 14 days of invoice and do not count toward the License Cap.

4. Term and the Startup Tier Cap

Explanation: The Cap provides the school with financial certainty, once the school has paid £50,000 in license fees over the term, the passive payments for the foundational IP cease for that period.

This agreement remains in force for three years from the date of the first payment, or until total License Fees reach the Startup Tier Cap of £50,000, whichever occurs first.

5. Quality Assurance and Standards

Explanation: To maintain the Centre of Excellence status, the school must use the DDP correctly, this clause ensures that the school maintains at least one staff member trained as a DDP Architect.

The Organisation must maintain at least one certified DDP Architect on staff. The Organisation shall adhere to the core pedagogical logic set out in the DDP Blueprint. The Licensor reserves the right to conduct an annual Fidelity Audit to ensure the Work is being implemented accurately, failure of which may result in license suspension.

6. Reporting and License Compliance

Explanation: This clarifies how the fees are calculated and ensures transparency, preventing disputes regarding what constitutes Net Income from school activities.

The Organisation shall provide a Quarterly Revenue Report within 14 days of the end of each academic term. This report must detail all Net Income derived from the school and associated DDP activities. The Licensor retains the right to appoint an independent auditor to verify these figures if significant discrepancies are identified.
